Welcome to the Terms and Conditions (“Terms”) of EXIM MATRIX B2B marketplace services and website (the “EXIM MATRIX”). The EXIM MATRIX Services are owned and operated by EXIM MATRIX. (herein as “EXIM MATRIX”).

By using the website and EXIM MATRIX Services, you agree to be bound by these Terms. Your agreement will be established when you tick” I Agree” on the registration page. If you do not agree to these Terms, please discontinue your use and refrain from our website immediately.

In these Terms, the words "website" and "platform", refer to Exim matrix website www.eximmatrix.com The words "we", "us", and "our" The words "you", "your," and "user" refer to you, the user of Exim Matrix (as Supplier, Seller, or Buyer).

If you use the Exim matrix Services as a representative of an organization, you represent and warrant that you have authority from the organization to act on its behalf. By using the Exim matrix Services on behalf of an organization, you warrant that you have the capacity to bind the organization to these Terms.

1. ELIGIBILITY

You represent and warrant that you meet the below criteria before using the exim matrix Services:

• You are at least 18 years of age.
• Your use of the Exim matrix Services does not go against any applicable laws or regulations.
• You have not been previously barred from using the Exim matrix Services;
• You are able to form an agreement; and
• You have the full right, power, and authority to enter into these Terms as an agreement.

Exim matrix , in its sole discretion, refuse to offer the Exim matrix Services to any user and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Exim matrix Services is revoked in such jurisdictions.

2. SUPPLIERS/SELLERS

2.1.Publications in the B2B Market

By posting a product on the B2B Market, you, as the Supplier or Seller, are responsible for ensuring that all information provided is accurate, complete, and up to date. This includes, but is not limited to, detailed product descriptions, prices, terms and conditions of sale, as well as any relevant information related to shipping and warranty.

You are responsible for managing all transactions originating through your B2B Market postings, including billing, collection, and shipping logistics. Our website does not intervene in transactions or agreements reached between Suppliers and Buyers.

You warrant that the products offered meet the relevant quality and safety standards and are true to the descriptions provided in your literature. Any claims arising from discrepancies in product quality or specification shall be your sole responsibility.

We reserve the right to modify or remove any postings on the B2B Market that we deem inappropriate, misleading, or in violation of these Terms. This includes, but is not limited to, postings that contain incorrect information, misleading advertising, or that infringe third-party rights.

2.2. User Content

You may provide and upload content and information through the platform. You retain any copyright or other rights you may have in the content and information you provide through the platform. Exim matrix is not responsible for the accuracy, safety, or legality of the content posted on the platform by Suppliers. The Supplier is solely and exclusively responsible for its content and the consequences of its publication. By providing content and information through the platform, you hereby grant Exim matrix a worldwide, non-exclusive, royalty-free, fully paid-up right and license to host, store, transfer, perform, reproduce, and modify the content for the sole purpose of using and displaying it within the platform and to the general public.

By providing and uploading content through the platform, you affirm, represent, and warrant that:

• You are the owner of the content you provide through the platform or have the necessary licenses, rights, consents, and permissions to authorize Exim Matrix to publish and display your content through the platform.
• Your user content and the use of your user content as contemplated by these Terms does not and will not:
  • Infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, right of privacy, right of publicity, or any other intellectual property or proprietary right;
  • Libel, defame, slander, or invade the right of privacy, publicity, or other proprietary rights of any other person;
  • Cause Exim Matrix to violate any law or regulation.
• Your content could not be considered by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
• Your content may not contain gambling, games, or contests based on chance.
• Your content does not and will not contain hateful content, threat of physical harm, or harassment.

2.3. Monitoring of Content

Exim Matrix may, at any time and without notice, filter, remove, edit, or block any user content that, in its sole judgment, violates these Terms or is otherwise objectionable. If any user or third party notifies us that any content allegedly does not conform to these Terms, we may investigate the allegation and determine in our sole discretion whether to remove the relevant supplier content, which we reserve the right to do at any time without notice.

3. BUYERS

3.1 Contact with Suppliers

Buyers interested in a product posted by a Supplier can initiate contact by clicking the \'Send message\' button on the listing. This feature enables direct communication between the Buyer and Supplier to discuss details, negotiate terms, and explore potential transactions.

Buyers are expected to use this feature responsibly and with genuine intent. All communications should be professional and focused on obtaining more information about the product or facilitating a purchase. Misuse of this feature, including sending unsolicited messages or using the contact for non-commercial purposes, is strictly prohibited.

Exim Matrix acts solely as a facilitator of these connections and does not participate in any negotiations or transactions resulting from the interaction. Buyers bear full responsibility for verifying all relevant information, such as terms of sale, warranties, shipping costs, and product specifications, before committing to any transaction.

If disputes arise, Buyers and Suppliers are encouraged to resolve issues directly. The website does not mediate or intervene in such disputes and is not responsible for the accuracy of Supplier-provided information, product quality, or delivery outcomes.

3.2 Sourcing Request (RFQ)

The Sourcing Request (RFQ) tool helps Buyers connect with Suppliers who can fulfil specific product needs. By submitting an RFQ, Buyers gain access to a global network of Suppliers, increasing the likelihood of receiving multiple offers quickly and efficiently.

Once posted, an RFQ is shared with registered Suppliers and remains visible to others on the platform until withdrawn by the Buyer. Buyers are encouraged to provide detailed and accurate information in their RFQs, including product specifications, quantities, delivery timelines, and other relevant criteria, to receive appropriate responses.

Exim matrix serves as a facilitator, not a participant, in any transactions or negotiations stemming from RFQs. Buyers are fully responsible for evaluating proposals, verifying Supplier credentials, and negotiating terms. Any agreements or arrangements are made directly between the Buyer and the Supplier.

While Exim matrix strives to maintain a reliable Supplier directory, we do not guarantee the accuracy of information or the performance of Suppliers. Buyers should exercise due diligence and verify all critical details before entering into any agreements.

Exim Matrix is not liable for any losses, damages, or disputes arising from the use of the Sourcing Request tool, including issues with Supplier performance, unmet needs, or failed transactions.

USER ACCOUNT

When you register with Exim Matrix, you will be required to choose a password and may be asked to provide additional information as outlined in the registration form on the platform. You are solely responsible for maintaining the confidentiality of your password and account information and for all activities conducted under your account.

You agree to promptly notify Exim Matrix of any unauthorized use of your account or password, or any other breach of security. You are strictly prohibited from assigning, transferring, or licensing your account to any third party without prior written consent from Exim Matrix. Exim Matrix shall not be liable for any loss or damage resulting from your failure to comply with these responsibilities.

If you register using “Register with Google” or “Register with LinkedIn,” you authorize Exim Matrix to access the information you permit from the respective platform for authentication purposes.

You may terminate your account at any time and for any reason via your account settings or by submitting a request through our contact page. Upon termination, your account and any personal data you provided will be deleted.

Exim Matrix reserves the right to suspend or terminate your account or access to the platform at any time, with or without notice, if it believes you have violated these Terms. Exim Matrix will not be liable to you or any third party for such termination.
